Van Benthem & Keulen advised Trivium Packaging on the successful completion of a large-scale, cross-border refinancing transaction with a total value of USD 2.93 billion. The refinancing included First Lien Secured Notes denominated in both U.S. dollars and euros, Second Lien Secured Notes in U.S. dollars, a Term Loan B facility in euros, and an asset-based lending facility, supplemented by factoring and hedging arrangements.

The refinancing was provided by a syndicate of international financial institutions and is aimed at optimising Trivium’s capital structure, strengthening its liquidity position, and supporting its continued strategic growth.

Trivium Packaging is a global leader in innovative and sustainable metal packaging solutions. The company serves over 800 customers across more than 70 countries, operates 49 production facilities in 18 countries, employs approximately 7,400 people and generates annual revenues of around USD 3 billion from a broad and diversified product portfolio.

Van Benthem & Keulen acted as Dutch legal counsel to Trivium Packaging and was responsible for advising on the Dutch law aspects of the financing structure. This included the financing documentation, the creation of security interests and various corporate law matters. In this transaction, we worked in close cooperation with A&O Shearman.
